The two-tier Thai investment structure BKK1 and BKk2
The two-tier Thai investment structure is the features for setting up foreign-controlled business in Thailand.
Setting up a general (non-manufacturing) wholly-owned foreign entity in Thailand for your parent company is very difficult.
Unless it’s U.S. shareholders, 100 percent exports, or certain industries which can go through a complicated BOI application process,
It requires fully paid-up capital of more than 100 millions of Thai currency (about 3.5 million US dollars).
If you want to set up Representative Office In Thailand is also difficult.
The usual choice is to establish a two-tier Thai local company, BKK1 and BKk2.
BKK1 has 51% Thai shareholders plus 49% of your company. Capital of BKk1, about 2 millions of Thai currency.
And then use BKKI hold 51% of BKK2, plus 49% of your aprent company contribute about 2 millions of Thai currency.
The final investment of about 4 millions of Thai currency, your shareholder ratio reached 74% and loan to Thai Citizen 26%.
In some cases, the two-tier local company structure may be too complicated for your initial stage in Thailand.

Thai Business Office handles subsidiary registration
1. Company name query:
Choose 3 Chinese or English in priority order. Required documents: provide the first page of the applicant’s passport photocopy, temporary address.
2. Register of original shareholders:
more than 3 people, (49% of registered general company foreigners, 51% of all Thais).
If you invest in accordance with the Amity Treaty (ELR-AMT) method, you can exempt from this restriction with foreign shares and 100% foreign shareholders.

– Thai shareholders must have bank account proof from 01/01/15 –

ELR-AMTAmity Treaty Registration
– Registering a company under <<the Treaty of Amity and Economic Relations between the United States of America and the Kingdom of Thailand >>:
It allows the US company to maintain a majority shareholding or fully own its company, branch office or representative office in Thailand.
-Requirements:
The majority of the company must be US citizens, or a company registered in the US with a majority of its shares held by US citizens.
Most authorized company directors must be Thai or US citizens.
Directors from other countries can serve as directors in a 2:1 ratio.
ELR-FBL Foreign Business License
What is a foreign business license?
In Thailand, a foreign business license can be granted to a foreign company that is majority owned by non-Thais, or to a foreign investor who wishes to operate a business that is generally restricted to foreigners under Thai law.
If a foreign company were to apply for such a license, they must first check under the<< Foreign Business Act>> to verify that the type of business they wish to operate is permitted under Thai law.
Some business types are entirely reserved for Thai nationals.
Foreign investors and foreign-funded enterprises can apply for foreign business licenses from the Foreign Licensing Department of the Ministry of Commerce of Thailand.
The minimum capital requirement to set up such a company in Thailand is 2 million baht.
The process of applying for a foreign business license is usually expedited if approved by the Thailand Investment Authority.
Thailand Foreign Business Restriction Law
According to the Foreign Business Act (Thailand) BE2542 (FBA), there are three types of business activities:
List 1: Foreigners are prohibited from doing business
List 2: Foreigners are allowed to do business under conditions
List 3: Foreigners are not yet allowed Doing
Business Sections 1, 2 or 3 of Thailand’s Foreign Business Act are subject to the provisions of this Act.
Foreigners are strictly prohibited from engaging in the activities listed in List 1.
List 2 prohibits the entry of foreigners unless approved by the Cabinet.
Foreigners are prohibited from engaging in businesses listed in List 3, unless authorized by the Director-General of the Commercial Registration Department (“CRD”).

BOI Promotion of Investment Program Application
**If the Thai-invested local company that does not use two layers is a common foreign-funded structure, and the investment is less than 100 million Thai-invested, apply for the BOI Promotion Investment Plan, which is usually used in the manufacturing industry.
**Bid for BOI investment promotion plan application
1. BOI foreign investment application process:

2. The working time takes about 60 working days (because of the need to cooperate with the orderly payment of our documents and the official working time)
3. Remarks column: When the BOI official notifies When receiving the approval document, the following information must be provided within one month at this time:
-Company registration document information
– The bank account needs to remit at least 25% of the registered capital amount (transfer investment certification document)
– Foreign remittance slip It is necessary to indicate the destination of the remittance (investment in Thailand)
– the responsible person’s passport signature The above documents are submitted to the BOI unit for about 15 days, that is, the original documents will be approved
**If Americans or 51% American-controlled American companies apply for shareholders, they will be regarded as Thai companies established by Thais or Thai companies as shareholders.
In this case, there is no need to apply for BOI.
